1. Acceptance of Terms

By accessing or using Jiya Finance ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Service Description

Jiya Finance is an AI-powered algorithmic trading platform that provides:

• Strategy generation and optimization using artificial intelligence
• Backtesting of trading strategies on historical market data
• Connection to Hyperliquid for live trading execution
• Portfolio and position monitoring tools

3. Non-Custodial Nature

Jiya Finance is a non-custodial platform. We never have access to or control over your funds. All trading occurs through your own Hyperliquid agent wallet, which you create and control. You are solely responsible for the security of your wallet and private keys.

4. Risk Disclaimer

TRADING INVOLVES SUBSTANTIAL RISK OF LOSS.

• Cryptocurrency and perpetual futures trading is highly speculative
• Past performance does not guarantee future results
• Leveraged trading can result in losses exceeding your initial investment
• AI-generated strategies may not perform as backtested
• You may lose some or all of your invested capital

Only trade with funds you can afford to lose. The Service is not intended as financial advice. Always do your own research and consider consulting a financial advisor.

5. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into this agreement
• Not be prohibited from using the Service under applicable law
• Not be located in a jurisdiction where the Service is prohibited

6. Account and Wallet

You are responsible for maintaining the confidentiality of your wallet credentials and for all activities that occur under your wallet address. You agree to notify us immediately of any unauthorized use.

7. Credits and Payments

• Credits are required to generate strategies and run backtests
• Credits are non-refundable once purchased
• A 5% profit fee applies to profitable live trading strategies
• All payments are made in USDC on Arbitrum
• Prices and fees may change with notice

8. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose
• Attempt to manipulate markets or engage in wash trading
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to the Service
• Use bots or automated systems to abuse the Service
• Violate any applicable laws or regulations

9. Intellectual Property

All content, features, and functionality of the Service are owned by Jiya Finance and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIYA FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE PRECEDING 12 MONTHS.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, you must close any open positions and withdraw your funds from Hyperliquid.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
